Air Products and Chemicals on Monday raised its takeover offer for Airgas to $5.48 billion in cash, as it presses forward with a proxy fight over its target’s board of directors.

Air Products and Chemicals Inc. said Monday it has boosted its offer to buy rival Airgas Inc. to $65.50 per share, but said it will walk away if Airgas shareholders don't elect its board slate and approve its bylaw proposals.

Air Products and Chemicals Inc. said it has increased its fully financed offer to purchase all of the outstanding shares of Airgas Inc. to $65.50 a share in cash, a premium of more than 50 percent over the closing price of Airgas’ shares on Feb. 4, 2010, the day before Air Products announced its proposal to acquire Airgas.
